Sten Kirkbak, Founder and CEO, and primary insider at Xplora Technologies AS (the “Company”), has on 8 July 2022 transferred 1 000 000 shares in the Company from MK Capital AS to his wholly-owned company Kirkbak Holding AS at a price of NOK 12.80 per share.
As part of the same transaction, MK Capital AS has also transferred 1 000 000 shares in the Company at a price of NOK 12.80 per share to Fiorano AS, a company wholly-owned by Olav Medhus. Olav Medhus and Sten Kirkbak own MK Capital AS with 50% each.
This transaction does not affect Sten Kirkbak’s total holding of shares in the Company, and he continues to hold the same number of shares in Xplora Technologies AS as previously, with the following ownership structure:
(i) 1 000 000 shares in Xplora Technology AS, through his wholly-owned company Kirkbak Holding AS
(ii) 50% of MK Capital AS, who owns 1 267 825 shares in Xplora Technologies AS
(iii) 15.4% of EF Investigo Holding AS, who owns 402 100 shares in Xplora Technologies AS
